1. Introduction

Welcome to VindX. By accessing or using our website vindx.in and services, you agree to comply with and be bound by these Terms and Conditions. These terms govern all projects, collaborations, and engagements with VindX. If you do not agree, please discontinue use immediately.

2. Scope of Services

We reserve the right to update, modify, or discontinue any service at our discretion.

3. Payments & Billing

  • Upfront Payment: Clients are required to pay 60% of the total project cost upfront before work begins.
  • Remaining Balance: The remaining 40% must be paid upon project completion, prior to delivery of final files or launch.
  • Payment Methods: Accepted payment methods will be communicated during onboarding.
  • Late Payments: Delayed payments may result in suspension of services or additional charges.
  • Refunds: Refunds are considered only in exceptional cases and are subject to project stage and mutual agreement.

4. Client Responsibilities

  • Provide accurate and complete information required for project execution.
  • Respond to requests for feedback, approvals, and content in a timely manner.
  • Ensure that any materials provided (images, text, data) do not infringe on third-party rights.

5. Intellectual Property

  • All content, designs, code, and materials created by VindX remain our intellectual property until full payment is received.
  • Upon completion and full payment, ownership of agreed deliverables will be transferred to the client.
  • VindX reserves the right to showcase completed projects in our portfolio unless otherwise agreed in writing.

6. Confidentiality

We respect client confidentiality and will not disclose sensitive information to third parties, except as required by law or necessary to deliver services.

7. Limitation of Liability

  • VindX is not liable for indirect, incidental, or consequential damages arising from the use of our services.
  • While we strive for accuracy and performance, we cannot guarantee specific outcomes such as search engine rankings or ad campaign results.

8. Termination of Services

  • Either party may terminate the agreement with written notice.
  • In case of termination, the client is responsible for payment of work completed up to that point.

9. Governing Law

These Terms and Conditions are governed by the laws of India. Any disputes will be subject to the jurisdiction of courts in Delhi.
